General Policies and Procedures

Trichotomous, LLC is the owner and manager of Learn 2 Live It. This is a statement of Policies and Procedures of Learn 2 Live It. Learn 2 Live It offers relevant content to our members that will assist them with life skills applicable to their daily lives. We promote the strategy of: Listen, Learn, Live! Learn 2 Live It strives to develop a long-term and mutually rewarding relationship with the Members. Learn 2 Live It desires to provide its members with the best membership benefits and services in the industry. Learn 2 Live It values constructive criticism and encourages the collaboration and exchange of ideas, challenges, and solutions.

Learn 2 Live It is committed to:

Providing prompt, professional, and courteous service to its Platinum Members participating in the Affiliate and Course Creator Programs.
Providing the highest level of quality membership benefits, at fair and reasonable prices.
Paying commissions accurately and on a timely basis.
Conducting themselves in a professional, honest, and considerate manner.
Presenting Learn 2 Live It Corporate and Learn 2 Live It Membership Program and benefits in an accurate and professional manner.

Not making statements that unreasonably offend, mislead, or coerce others.

Collection of payments through Trichotomous, LLC for membership fees, paid courses and hourly coaching.
Online System for courses, worksheets, activities (Learning Management System)
Management of YouTube Channel
Management of Promotional Channels and Quality Assurance of Content
Management of Content Fulfillment
Customer Service
Management of Facebook Groups
Management of Emails/Newsletters/Zooms/Promotional Store
Website Management
Facilitation of disputes, grievances, conflicts and resolutions in a timely and reasonable manner.
Implementing changes to the Membership benefits or this Statement of Policies and Procedures.

Support, protect, and defend the integrity of Learn 2 Live It’s Membership Program, benefits and revenue opportunity.
Show fairness, tolerance, and respect to all people associated with Learn 2 Live It, regardless of race, gender, social class, or religion, thereby fostering a “positive atmosphere” of teamwork, good morale, and community spirit.
Strive to resolve business issues, including conflicts or disagreements with Members and Learn 2 Live It staff with tact, sensitivity, and goodwill, and taking care not to create additional conflict.

Referral Code

A code to share with individuals allowing enrollment waiving the one-time registration fee. The referral code will be linked to the member assigned to the code for revenue opportunities.

Referrer

The Referrer is the person who introduces a Member to Learn 2 Live It, helps them complete their enrollment, and is linked by a referral code to the member. Referrer may also be referred to as host.

Learn 2 Live It recognizes the Referrer as the name shown on an applicant’s registration submission to Learn 2 Live It.
A member may not register with Learn 2 Live It as a Member without personally accepting terms and conditions of the Learn 2 Live It Policies and Procedures.
Learn 2 Live It recognizes that each new prospect has the right to ultimately choose his or her own Referrer but Learn 2 Live It will not allow Members to engage in unethical enrollment activities.

Access to Information

Learn 2 Live It limits who has access to Members’ nonpublic personal information.

Expectation of Privacy

Learn 2 Live It recognizes and respects the importance its Members place on the privacy of their financial and personal information. Learn 2 Live It will make reasonable efforts to safeguard the privacy of and maintain the confidentiality of its Members’ financial and account information and nonpublic personal information.

Restrictions on the Disclosure of Account Information

Learn 2 Live It will not share non-public personal information or financial information about current or former Members with third parties, except as permitted or required by laws and regulations, court orders, or to serve the Members’ interests or to enforce its rights or obligations with written permission from the account holder on file.

Amendments to the Member Policies and Procedures

Because federal, state, and local laws, as well as the business environment, periodically change, Learn 2 Live It reserves the right to amend the Policies and Procedures as set forth on its website in its sole and absolute discretion. Notification of amendments shall appear in official Learn 2 Live It materials, Learn 2 Live It website, social media outlets, and/or Members’ back office.

Any such amendment, change, or modification shall be effective thirty (30) days following notice by one of the following methods:

Posting on the official Learn 2 Live It website;
Electronic mail (e-mail); or
Any Learn 2 Live It communication channels or social media outlets (i.e., Facebook, Instagram, and/or X).

Voluntary Termination

A Member may immediately terminate his or her membership by submitting a written notice via email to Learn 2 Live It at info@Learn2LiveIt.com. The written notice must include the following:

Statement of the Member’s intent to terminate the Account;
Date of termination;
Reason(s) for terminating the Account, and
Member’s signature.

Involuntary Termination

Learn 2 Live It reserves the right to terminate a membership for, but not limited to, the following reasons:

Violation of any provision of the Member Policies and Procedures.
Violation of any applicable law, ordinance, or regulation related to the Member’s Learn 2 Live It membership.

Learn 2 Live It will notify the Member in writing via email and personal contact of Learn 2 Live It’s intent to terminate the Member’s membership and the reasons for termination. The involuntary termination will be effective date as of the written notice.

The Member who is involuntarily terminated by Learn 2 Live It may not re-enroll as a Member, either under his or her present name or any other name or Business Entity, without the express written consent of an officer of Learn 2 Live It.

Reporting Policy Violation

A Member who observes a violation of these Policies and Procedures by another Member should submit any such violation(s) to Learn 2 Live It via email to info@Learn2LiveIt.com. Learn 2 Live It will investigate the reported violations(s) and Learn 2 Live It will take appropriate action if warranted. The email should include:

The nature of the violation(s);
Specific facts to support the allegations;
Dates;
Number of occurrences;
Persons involved; and
Supporting documentation.

Mediation Disputes Between a Member and Learn 2 Live It

Member and Learn 2 Live It (collectively “the Parties”) recognize disputes and differences that may arise between the Parties and therefore agree it is in their best interest to appoint an impartial mediator to resolve such disputes as they arise. Mediation of a dispute may allow the parties to avoid the cost and inconvenience of litigation in court.

The Parties should exchange all documents pertinent to the relief requested. The mediator may request the exchange of memoranda and other information; items that a party wishes to keep confidential may be sent to the mediator in a separate communication.
The mediator shall not be a legal representative of any party.
Unless otherwise agreed to by the Parties, the mediation shall take place in Sebastian County, Arkansas, on a date that is mutually agreeable among the Parties and mediator. Participation in the mediation by telephone will be permitted to prevent inconvenience to a party.
The mediator shall allow the Parties to be represented by their respective advocates, who have the authority to consummate a settlement. Any party may participate without representation (pro se).
Mediation sessions and related mediation communications are private proceedings. For this reason, only the Parties and their legal representatives may attend mediation sessions. Other people may attend only with the permission of the Parties and with the consent of the mediator.
Each Party will pay its own costs and expense of the mediation unless the Parties agree otherwise.
The Parties agree that all mediation communications are privileged and not subject to discovery or admissible in evidence in a proceeding unless waived or precluded by both Parties or unless the evidence would otherwise be admissible or subject to discovery if it were not by reason of its disclosure or use in mediation.
The jurisdiction and venue of any controversy or claim brought under this mediation provision shall be in Sebastian County, Arkansas. The Parties further agree that the laws of the State of Arkansas shall govern all matters, claims, or controversy submitted to mediation pursuant to the Policies and Procedures.

Severability

If any provision of these Policies and Procedures is found to be invalid, or unenforceable for any reason, only the invalid provision shall be severed. The remaining terms and provisions hereof shall remain in full force and shall be construed as if such invalid or unenforceable provision never had comprised a part of these Policies and Procedures.

Class Action Waiver

The parties expressly intend and agree that:

Class action and representative action procedures are hereby waived and shall not be asserted, nor will they apply, in any court or arbitration; and
The parties will only submit their own, individual claims in any court or arbitration and will not seek to represent the interests of any other person.
The court or arbitrator is not empowered to consolidate claims of different individuals into one proceeding, to hear any litigation or arbitration as a class action
As a Learn 2 Live It Member, I agree that I will not assert class or collective action claims against Learn 2 Live It in arbitration, court, or otherwise, nor will I join or serve as a member of a class or collective action in arbitration, court or otherwise.
As a Member, I understand that this means that there will be no right or authority for any dispute to be brought, heard, or arbitrated as a class or collective action by me or Learn 2 Live It.

Waiver

Only an officer of Learn 2 Live It can, in writing, affect a waiver of these Policies and Procedures. Learn 2 Live It’s waiver of any particular breach by a Member shall not affect Learn 2 Live It’s rights with respect to any subsequent breach, nor shall it affect the rights or obligations of any other Member.

The existence of any claim or cause of action of a Member against Learn 2 Live It shall not constitute a defense to Learn 2 Live It’s enforcement of any term or provision of these Policies and Procedures.

Governing Law

The law of the State of Arkansas shall govern all matters relating to or arising from the Member Policies and Procedures or between Learn 2 Live It and Member, without regard for any provisions regarding choice of law.

Platinum Membership Policies and Procedures

The Learn 2 Live It website is operated by Trichotomous, LLC. This is a statement of Policies and Procedures of Learn 2 Live It. Learn 2 Live It offers relevant content to our members that will assist them with life skills applicable to their daily lives. We promote the strategy of: Listen, Learn, Live! Learn 2 Live It strives to develop a long-term and mutually rewarding relationship with its Platinum Members participating in the Affiliate and Course Creator Programs. Learn 2 Live It desires to provide its independent Platinum Members with the best membership benefits and services in the industry. Learn 2 Live It values constructive criticism and encourages the collaboration and exchange of ideas, challenges, and solutions.

Learn 2 Live It is committed to:

Providing prompt, professional, and courteous service to its Platinum Members participating in the Affiliate and Course Creator Programs.
Providing the highest level of quality membership benefits, at fair and reasonable prices.

Trichotomous, LLC is responsible for:

Payment Collection and Distribution of funds
Distribution of Revenue Reports
Revenue payments for the Affiliate Referral and Course Creator Programs
Distribution of Revenue Payments by the 15th of the month.

Not make exaggerated income claims.

The Platinum Member Course Creator is responsible to:

Deliver Course Content according to the Learn 2 Live It criteria.
Submit Course Content to Learn 2 Live It (Videos, Outlines for Courses and Worksheets).
Keep topics of expertise relevant and engaging.
Participate in Facebook Group consistently.

The Learn 2 Live It revenue share with Platinum Members participating in the Member Affiliate and Course Creator Program is as follows:

Affiliate Membership 30% of monthly membership fees (Referred members)
Affiliate Referral Memberships 5% of monthly membership fees (Referred members referrals)
Course Creator 50% of a paid course by a member
Affiliate Course Purchases 10% of paid course (Referred member purchase)
Affiliate Referral Course Purchases 5% of paid course (Referred member referral purchase)
Affiliate Coaching Purchases 10% (Referred member purchase coaching)
Affiliate Referrals Coaching Purchases 2.5% (Referred member referral purchase coaching)

Revenue

Commission and revenue is calculated on a monthly basis.
A Learn 2 Live It Platinum Member participating in the Affiliate and Course Creator Program must review his or her monthly statement and revenue reports promptly and report any discrepancies within thirty (30) days of receipt. After the thirty (30) day “grace period” no additional requests will be considered for revenue recalculations.
Each Platinum Member participating in the Affiliate and Course Creator Program is required to provide a Social Security Number or Federal Tax-ID if located in the United States or any of its territories to Learn 2 Live It. The transferring and disbursement of commission payments acquired is known as a “Pay-Out” and Trichotomous, LLC reserves the right to withhold Pay-Out from any Platinum Member who fails to provide a valid Social Security Number or Federal Tax-ID (EIN) or who provides false information.
Each Platinum Member participating in the Affiliate and Course Creator Program is considered a 1099 contractor and is not an employee.

The Program Operates as follows:

The courses, videos, PDF worksheets, Live Zoom Calls, recordings, written and video articles and all membership communication created by the Platinum Member Course Creator is considered the property of Learn 2 Live It.
If the Platinum Member Course Creator terminates their relationship, resigns, or is involuntarily terminated, then Learn 2 Live It may or may not remove the courses, videos, PDF worksheets, Live Zoom Calls, recordings, written and video articles and all membership communication created by the Platinum Member Course Creator at the discretion of Learn 2 Live It.
A Platinum Member participating in the Affiliate or Course Creator Programs shall not offer the Learn 2 Live It opportunity through or in combination with, any other system, program, or method of marketing other than that specifically set forth in Official Learn 2 Live It Literature without approval from Learn 2 Live It.
Learn 2 Live It may take appropriate action against a Platinum Member participating in the Affiliate or Course Creator Program if it determines conduct is detrimental, disruptive, or injurious to Learn 2 Live It or other Members.
Learn 2 Live It understands that the content from the Platinum Member as a Course Creator is not exclusive to Learn 2 Live It and may be used by the member in other programs.
Revenue payments will be distributed on the 15th of the month.
Disciplinary actions may include one or more of the following:

Monitoring a Platinum Member participating in the Affiliate and Course Creator Program conduct over a specified period of time;
Issuance of a written warning or requiring the Platinum Member participating in the Affiliate and Course Creator Program to take immediate corrective action;
Suspension from participation in Learn 2 Live It or events, rewards, or recognition;
Involuntary termination of the Platinum Member participating in the Affiliate and Course Creator Program Account and position;
Any other measure which Learn 2 Live It deems feasible and appropriate to justly resolve injuries caused by the Platinum Member participating in the Affiliate and Course Creator Program violation(s).

Affiliate Referral Program

Learn 2 Live It offers an exclusive Affiliate Referral Program for Platinum members. Platinum Members participating in the Affiliate Referral Program receive a Referral Code. This Referral Code can be shared with others and will allow enrollment waiving the one-time registration fee. Platinum Members participating in the Affiliate Referral Program will receive a monthly commission for membership upgrades, paid courses and coaching purchased by their referred members. If the referred member joins the Platinum Member Affiliate Referral Program, then the Platinum member will also receive a monthly commission for membership upgrades, paid courses and coaching purchased by that member’s referred members. Monthly commissions will only be paid if the Platinum Member maintains their Platinum membership.

A member may not register with Learn 2 Live It as a Member without personally accepting and agreeing to the Policies and Procedures of the Learn 2 Live It.
Learn 2 Live It recognizes that each new prospect has the right to ultimately choose his or her own Referrer but Learn 2 Live It will not allow Members to engage in unethical enrollment activities.
All active Platinum Members in good standing have the right to refer and enroll others into Learn 2 Live It. While engaged in sponsoring activities, it is not uncommon to encounter situations when more than one Platinum Member will approach the same prospect. In this scenario, the new prospect should be Registered by the first Platinum Member who presented a comprehensive introduction to Learn 2 Live It Membership opportunity. In the event of a dispute regarding referral codes, Learn 2 Live It reserves the right to designate a prospect’s assignment and all such determinations are final.

COURSE CREATOR REVENUE OPTION

Learn 2 Live It offers an exclusive Course Creator option to Platinum members. Active Platinum members may participate in Learn 2 Live It’s Creator Program to create Auxiliary Courses for the membership to purchase. The Course Creator will receive a monthly commission for their created courses purchased by the membership.

Presentation of Affiliate Referral and Course Creator Programs

In presenting the Learn 2 Live It revenue opportunities, a Platinum Member participating in the Affiliate Referral and Course Creator Program is required to:

Present a copy of the Learn 2 Live It Income Disclosure Statement.
Refrain from misquoting or omitting any material fact about the Program.
Clearly explain that the Revenue Program is based upon membership upgrades, course purchases, and course creations.
Not make income projections, claims, or guarantees while presenting or discussing the Learn 2 Live It Revenue Programs to prospective Members.
Inform all prospective Members that success requires substantial work.
Not make any unsubstantiated claims regarding memberships offered by Learn 2 Live It, except those contained in official Learn 2 Live It literature.

Income Disclosure Statement

The Learn 2 Live It Revenue Opportunities rewards members for sharing the assigned referral code with other participants or by creating courses for the membership. Although the opportunity is unlimited, individual results will vary depending on the commitment levels of each participant. Income projections should not be considered as guarantees or projections of actual earnings or profits. Success with Learn 2 Live It results from hard work, dedication, and leadership.

Access to Information

Learn 2 Live It limits who has access to Members’ nonpublic personal information.

Reports

By accepting the Learn 2 Live It Platinum Member Affiliate and Course Creator Policies and Procedures, the Platinum Member acknowledges that business reports, lists of Member names and contact information, and any other information, which contain financial, or other information both written or otherwise circulated by Learn 2 Live It or pertaining to the business of Learn 2 Live It (collectively, “Reports”), are confidential and proprietary information and trade secrets belonging to Learn 2 Live It.

Expectation of Privacy

Restrictions on the Disclosure of Account Information

Indemnification for Actions

A Platinum Member participating in the Affiliate and Course Creator Program is fully responsible for all of his or her verbal and written communications made regarding Learn 2 Live It Membership that are not expressly contained within official Learn 2 Live It materials. Members shall indemnify and hold harmless Learn 2 Live It, its directors, founders, officers, employees, creators, and agents from any and against all liability including judgments, civil penalties, refunds, lawyer fees, and court costs incurred by Learn 2 Live It as a result of the Platinum Member’s unauthorized representations or actions. This provision shall survive the termination of the Learn 2 Live It Member Policies and Procedures and a Learn 2 Live It Membership.

Amendments to the Member Policies and Procedures

Any such amendment, change, or modification shall be effective thirty (30) days following notice by one of the following methods:

Posting on the official Learn 2 Live It website;
Electronic mail (e-mail); or
Any Learn 2 Live It communication channels or social media outlets (i.e., Facebook, Instagram, and/or X).

ADVERTISING AND PROMOTIONAL MATERIAL

Advertising and all forms of communication must adhere to principles of honesty and propriety. All advertising, including, but not limited to, print, the Internet, computer bulletin boards, television, radio, etc., are subject to prior written approval by Learn 2 Live It. All requests for approvals with respect to advertising must be directed in writing to Learn 2 Live It. Learn 2 Live It reserves the right to rescind its prior approval of submitted advertising or promotional materials in order to comply with changing laws and regulations and may require the removal of such advertisements from the marketplace without obligation to the affected member.

Voluntary Termination

A Platinum may immediately terminate his or her membership by submitting a written notice via email to Learn 2 Live It at info@Learn2LiveIt.com. The written notice must include the following:

Statement of the Platinum Member’s intent to terminate the Account;
Date of termination;
Reason(s) for terminating the Account, and
Platinum Member’s signature.

Involuntary Termination

Learn 2 Live It reserves the right to terminate a Platinum Member’s membership for, but not limited to, the following reasons:

Violation of any provision of the Platinum Member Affiliate and Course Creator Agreement;
Violation of any applicable law, ordinance, or regulation related to the Member’s Learn 2 Live It membership;
Engaging in unethical business practices or violating standards of fair dealing.

Learn 2 Live It will notify the Platinum Member in writing via email and personal contact of Learn 2 Live It’s intent to terminate the Member’s membership and the reasons for termination. The involuntary termination will be effective date as of the written notice.

The former Platinum Member shall thereafter be prohibited from using the names, marks or signs, labels, stationery, advertising, or business material referring to or relating to any Learn 2 Live It membership.

The Platinum Member who is involuntarily terminated by Learn 2 Live It may not re-enroll as a Member, either under his or her present name or any other name or Business Entity, without the express written consent of an officer of Learn 2 Live It.

The courses created by the Platinum Member may or may not be removed from the courses available to the membership at the discretion of Learn 2 Live It. The courses, videos, PDF worksheets, Live Zoom Calls, recordings, written and video articles and all membership communication is considered the property of Learn 2 Live It.

Reporting Policy Violation

Grievances Against Another Member

If a Platinum Member has a grievance or complaint against another Member regarding any practice or conduct relating to their respective Learn 2 Live It businesses, he or she is encouraged to resolve the issue directly with the other party. If an agreement cannot be reached, it must be reported directly to the Learn 2 Live It as outlined.

Learn 2 Live It will be the final authority on settling such grievance or complaint and its written decision shall be final and binding on the Member involved.
Learn 2 Live It will confine its involvement to disputes regarding Learn 2 Live It business matters only. Learn 2 Live It will not decide issues that involve personality conflicts or unprofessional conduct by or between Members outside the context of an Learn 2 Live It business.
Learn 2 Live It does not consider, enforce, or mediate third-party agreements between Members, nor does it provide names, funding, or advice for obtaining outside legal counsel.

The Platinum Member should submit a letter of complaint via email directly to Learn 2 Live It at info@Learn2LiveIt.com. The letter shall set forth the details of the incident as follows:

The nature of the violation;
Specific facts to support the allegations;
Dates;
Number of occurrences;
Persons involved; and
Supporting documentation.

Upon receipt of the written complaint, Learn 2 Live It will conduct an investigation according to the following procedures:

Learn 2 Live It will send an acknowledgment of receipt to the complaining Member;
Learn 2 Live It will provide a verbal or written notice of the allegation to the Member under investigation. If a written notice is sent to the Member, he or she will have 10 business days from the date of the notification letter to present all information relating to the incident for review by Learn 2 Live It.
Learn 2 Live It will thoroughly investigate the complaint, consider all the submitted information it deems relevant, including information from collateral sources. Due to the unique nature of each situation, determinations of the appropriate remedy will be on a case by-case basis, and the length of time to reach a resolution will vary.

Mediation Disputes Between a Platinum Member and Learn 2 Live It

Platinum Member participating in the Affiliate and Course Creator Program and Learn 2 Live It (collectively “the Parties”) recognize disputes and differences that may arise between the Parties and therefore agree it is in their best interest to appoint an impartial mediator to resolve such disputes as they arise. Mediation of a dispute may allow the parties to avoid the cost and inconvenience of litigation in court.

The Parties should exchange all documents pertinent to the relief requested. The mediator may request the exchange of memoranda and other information; items that a party wishes to keep confidential may be sent to the mediator in a separate communication.
The mediator shall not be a legal representative of any party.
Unless otherwise agreed to by the Parties, the mediation shall take place in Sebastian County, Arkansas, on a date that is mutually agreeable among the Parties and mediator. Participation in the mediation by telephone will be permitted to prevent inconvenience to a party.
The mediator shall allow the Parties to be represented by their respective advocates, who have the authority to consummate a settlement. Any party may participate without representation (pro se).
Mediation sessions and related mediation communications are private proceedings. For this reason, only the Parties and their legal representatives may attend mediation sessions. Other people may attend only with the permission of the Parties and with the consent of the mediator.
Each Party will pay its own costs and expense of the mediation unless the Parties agree otherwise.
The Parties agree that all mediation communications are privileged and not subject to discovery or admissible in evidence in a proceeding unless waived or precluded by both Parties or unless the evidence would otherwise be admissible or subject to discovery if it were not by reason of its disclosure or use in mediation.
The jurisdiction and venue of any controversy or claim brought under this mediation provision shall be in Sebastian County, Arkansas. The Parties further agree that the laws of the State of Arkansas shall govern all matters, claims, or controversy submitted to mediation pursuant to the Policies and Procedures.

Use of Learn 2 Live It Names and Protected Materials

A Learn 2 Live It Platinum Member participating in the Affiliate and Course Creator Program must safeguard and promote the good reputation of Learn 2 Live It and the Membership it markets. The marketing and promotion of Learn 2 Live It, the Learn 2 Live It revenue opportunity, and Learn 2 Live It membership programs will be consistent with the public interest and must avoid all discourteous, deceptive, misleading, unethical, or immoral conduct and practices.

All promotional materials supplied or created by Learn 2 Live It must be used in their original form and cannot be changed, amended, or altered, except with prior written approval from the Learn 2 Live It.
A Learn 2 Live It Platinum Member’s use of the name “Learn 2 Live It” is restricted to protect Learn 2 Live It proprietary rights, ensuring that the Learn 2 Live It protected names will not be lost or compromised by unauthorized use. Use of the Learn 2 Live It name on any item not produced by Learn 2 Live It is prohibited except as follows:

[Member’s name] Independent Learn 2 Live It Platinum Member.
[Member’s name] Independent Platinum Member of Learn 2 Live It Membership Program.

All stationary (i.e., letterhead, envelopes, and business cards) bearing the Learn 2 Live It name or logo intended for use by the Learn 2 Live It Platinum Member must be submitted via email to the Learn 2 Live It for approval. Submit to; info@Learn2LiveIt.com.
Learn 2 Live It Platinum Member may list “Independent Learn 2 Live It Platinum Member” in the white pages of the telephone directory under his or her own name.
Learn 2 Live It Platinum Member may not use the name Learn 2 Live It in answering his or her telephone, creating a voice message, or using an answering service, such as to give the impression to the caller that they have reached the corporate office. They may state, “Independent Learn 2 Live It Platinum Member.”
A Learn 2 Live It Platinum Member shall not appear on or make use of television or radio or make use of any other media to promote or discuss Learn 2 Live It or its programs, products, or services without prior written permission from Learn 2 Live It.
A Platinum Member may not produce for sale or distribution any Learn 2 Live It event or speech, nor may a Platinum Member reproduce Learn 2 Live It audio or video clips for sale or for personal use without prior written permission from Learn 2 Live It.
Learn 2 Live It reserves the right to rescind its prior approval of any sales aid or promotional materials to comply with changing laws and regulations and may request the removal from the marketplace of such materials without financial obligation to the affected Platinum Member.

Internet and Third-Party Website Restrictions

A Platinum Member is prohibited from creating or registering any third-party website in order to promote, sell or advertise their Learn 2 Live It referral code without Learn 2 Live It’s express written approval. A Platinum Member is prohibited to use or attempt to register any of Learn 2 Live It’s trade names, trademarks, service names, service marks, product names, URLs, advertising phrases, the Learn 2 Live It name, or any derivative thereof, for the purpose including, but not limited to, Internet domain names (URL), third party websites, e-mail addresses, web pages, or blogs.

Social Media sites may be used to share Learn 2 Live It membership programs. PROFILES A PLATINUM MEMBER GENERATES IN ANY SOCIAL COMMUNITY WHERE LEARN 2 LIVE IT IS DISCUSSED OR MENTIONED MUST CLEARLY IDENTIFY THE MEMBER AS AN INDEPENDENT LEARN 2 LIVE IT PLATINUM MEMBER, and when a Platinum Member participates in those communities, Platinum Member must avoid inappropriate conversations, comments, images, video, audio, applications or any other adult, profane, discriminatory or vulgar content. The determination of what is inappropriate is at Learn 2 Live It’s sole discretion, and the offending Platinum Member will be subject to disciplinary action. Banner ads and images used on these sites must be current and must come from the Learn 2 Live It approved library, official Learn 2 Live It website, or social media outlet.
Anonymous postings or use of an alias on any Social Media site is prohibited, and offending Platinum Member will be subject to disciplinary action.
Platinum Member may not use blog spam, spamdexing, or any other mass replicated methods to leave blog comments. Comments Platinum Members create, or leave must be useful, unique, relevant, and specific to the blog’s article.
Platinum Member must disclose their full name on all Social Media postings, and conspicuously identify themselves as an Independent Learn 2 Live It Platinum Member for Learn 2 Live It. Anonymous postings or the use of an alias is prohibited.
Postings that are false, misleading, or deceptive are prohibited. This includes, but is not limited to, false or deceptive postings relating to the Learn 2 Live It business opportunity or income therewith, Learn 2 Live It’s membership programs, and/or your biographic information and credentials.
Platinum Members are personally responsible for their postings and all other online activity that relates to Learn 2 Live It. Therefore, even if a Platinum Member does not own or operate a blog or Social Media site, if a Platinum Member posts to any such site that relates to Learn 2 Live It or which can be traced to Learn 2 Live It, the Platinum Member is responsible for the posting. Platinum Members are also responsible for postings that occur on any blog or Social Media site that the Platinum Member owns, operates, or controls.
The distinction between a Social Media site and a website may not be clear-cut because some Social Media sites are particularly robust, Learn 2 Live It, therefore, reserves the sole and exclusive right to classify certain Social Media sites as third-party websites which are herein prohibited.
If your Learn 2 Live It membership is canceled for any reason, you must discontinue using the Learn 2 Live It name, and all of Learn 2 Live It’s trademarks, trade names, service marks, and other intellectual property, and all derivatives of such marks and intellectual property, in any postings and all Social Media sites that you utilize. If you post on any Social Media site on which you have previously identified yourself as an Independent Learn 2 Live It Platinum Member, you must conspicuously disclose that you are no longer an Independent Learn 2 Live It Platinum.
Failure to comply with these Policies for conducting business online may result in the Platinum Member losing their right to advertise and market Learn 2 Live It membership revenue opportunity online in addition to any other disciplinary action available under the Policies and Procedures.

Adherence to Laws and Ordinances

Many cities, counties, and townships have laws regulating certain home-based businesses. Platinum Member shall comply with all federal, state, and local laws, ordinances, and regulations in conducting his or her Learn 2 Live It membership and revenue opportunities.

A Platinum Member understands and agrees that he/she/it is solely responsible for any and all fines and liabilities incurred as a result of the Platinum Member’s violation(s) of applicable laws, regulations, and/or ordinances.

A Platinum Member accepts sole responsibility for and agrees to pay all federal, state, provincial, and local taxes on any income generated as a Platinum Member, and further agrees to indemnify Learn 2 Live It from any failure to pay such taxes when due. Learn 2 Live It encourages Platinum Members to consult with his/her/its tax advisor(s) to ensure they are compliant with all applicable laws and understand the tax consequences of an Learn 2 Live It membership and revenue opportunities.

Severability

Class Action Waiver

The parties expressly intend and agree that:

Class action and representative action procedures are hereby waived and shall not be asserted, nor will they apply, in any court or arbitration; and
The parties will only submit their own, individual claims in any court or arbitration and will not seek to represent the interests of any other person.
The court or arbitrator is not empowered to consolidate claims of different individuals into one proceeding, to hear any litigation or arbitration as a class action
As a Learn 2 Live It Platinum Member, I agree that I will not assert class or collective action claims against Learn 2 Live It in arbitration, court, or otherwise, nor will I join or serve as a member of a class or collective action in arbitration, court or otherwise.
As a Platinum Member, I understand that this means that there will be no right or authority for any dispute to be brought, heard, or arbitrated as a class or collective action by me or Learn 2 Live It.

Waiver

Only an officer of Learn 2 Live It can, in writing, affect a waiver of these Policies and Procedures. Learn 2 Live It’s waiver of any particular breach by a Platinum Member shall not affect Learn 2 Live It’s rights with respect to any subsequent breach, nor shall it affect the rights or obligations of any other Member.

The existence of any claim or cause of action of a Platinum Member against Learn 2 Live It shall not constitute a defense to Learn 2 Live It’s enforcement of any term or provision of these Policies and Procedures.

Governing Law

The Parties agree that jurisdiction and venue of any controversy or claim arising from the Platinum Member Affiliate and Course Creator Policies and Procedures or between Learn 2 Live It and Platinum Member shall be in Sebastian County, Arkansas. The law of the State of Arkansas shall govern all matters relating to or arising from the Member Policies and Procedures or between Learn 2 Live It and Member, without regard for any provisions regarding choice of law.

Separation and Learn 2 Live It

Pending a divorce or dissolution of a Business Entity, the parties must adopt one of the following methods of operation:

One of the parties may, with the written consent of the other(s), operate the Learn 2 Live It business whereby the relinquishing Spouse, shareholder, partner, founder, member, or trustee (“Relinquishing Party”) authorize Learn 2 Live It to deal directly and solely with the non-Relinquishing Party.
The parties may continue to operate the Learn 2 Live It membership jointly on a “business as usual” basis. All compensation paid by Learn 2 Live It will be paid into the Individual(s)or Business Entity named as the Member on the Account and the Member shall indemnify Learn 2 Live It from any and all claims of any other party with respect to the Learn 2 Live It business and Account and any payment(s) made in connection therewith.
If a Relinquishing Party, has completely relinquished, in writing, all rights to the original Learn 2 Live It membership and Account, the Relinquishing Party may immediately thereafter re-enroll.

Succession

Upon the death or incapacity of a Platinum Member participating in the Affiliate and Course Creator Program, the membership may be passed on to his or her legal successors in interest (“Successor”). Whenever a Learn 2 Live It membership is transferred by a will or other testamentary process, the successor acquires the right to collect all commissions of the deceased Platinum Member’s referrals and courses. The Successor must:

Accept and agree to all the terms of the Platinum Member Affiliate and Course Creator Policies and Procedures; and
Comply with the terms and provisions of the Platinum Member Affiliate and Course Creator Program Policies and Procedures.

Any commissions transferred pursuant to this section will be paid in a single transfer to the successor. The successor must provide Learn 2 Live It with an “address of record” to which all commission Pay-Out will be sent. Payments will be based on the current performance of the Platinum Member referred membership and created courses.

If the business is bequeathed to joint devisees, they must form a Business Entity and acquire a Federal Tax ID (EIN). Learn 2 Live It will issue all commission payments to the managing Business Entity only.

Appropriate legal documentation must be submitted to Learn 2 Live It to ensure the transfer is done properly. To affect a testamentary transfer of a Learn 2 Live It business, the Successor must provide the following to Learn 2 Live It:

A certified copy of the death certificate; and
A notarized copy of the will or other appropriate legal documentation establishing the successor’s right to the Learn 2 Live It business.

To complete a transfer of the Learn 2 Live It revenue because of incapacity, the Successor must provide the following to the Learn 2 Live It:

A notarized copy of an appointment as trustee;
A notarized copy of the trust document or other appropriate legal documentation establishing the trustee’s right to administer the Learn 2 Live It revenue; and
A Platinum Member Affiliate and Course Creator Program Policies and Procedures accepted and agreed to by the trustee in writing.

CORE Creator Policies and Procedures

The Learn 2 Live It website is operated by Trichotomous, LLC. This is a statement of Policies and Procedures of Learn 2 Live It. Learn 2 Live It offers relevant content to our members that will assist them with life skills applicable to their daily lives. We promote the strategy of: Listen, Learn, Live! Learn 2 Live It strives to develop a long-term and mutually rewarding relationship with its members participating in the CORE Creator Program. Learn 2 Live It desires to provide its independent CORE Creators with the best membership benefits and services in the industry. Learn 2 Live It values constructive criticism and encourages the collaboration and exchange of ideas, challenges, and solutions.

Learn 2 Live It is committed to:

Providing prompt, professional, and courteous service to its Platinum Members participating in the Affiliate and Course Creator Programs.
Providing the highest level of quality membership benefits, at fair and reasonable prices.
Ensuring commissions will be paid accurately and on a timely basis.
Conducting themselves in a professional, honest, and considerate manner.
Presenting Learn 2 Live It Corporate and Learn 2 Live It Membership Program and benefits in an accurate and professional manner.
Presenting the Revenue Opportunity in a complete and accurate manner.
Not making exaggerated income claims.
Fulfilling responsibilities in a timely manner.
Supporting, protecting, and defending the integrity of the Learn 2 Live It Membership Benefits, Course Creators, Coaches and Revenue Opportunities.
Showing fairness, tolerance, and respect to all people associated with Learn 2 Live It, regardless of race, gender, social class, or religion, thereby fostering a “positive atmosphere” of teamwork, good morale, and community spirit.
Striving to resolve business issues, including conflicts or disagreements with Members with tact, sensitivity, and goodwill, and taking care not to create additional conflict.
Being honest, responsible, professional, and conduct themselves with integrity.
Not making statements that unreasonably offend, mislead, or coerce others.

Trichotomous, LLC is responsible for:

Payment Collection and Distribution of funds
Distribution of Revenue Reports to CORE Creators
Revenue payments to CORE Creators
Distribution of Revenue Payments by the 15th of the month.

Learn 2 Live It expects that its CORE Creators will:

Agree to the Platinum Membership and Course Creator Policies and Procedures.
Promote the membership program and benefits to individuals.
Conduct themselves in a professional, honest, and considerate manner.
Present Learn 2 Live It Corporate and Learn 2 Live It Membership Program and benefits in an accurate and professional manner.
Present the Revenue Opportunity in a complete and accurate manner.
Not make exaggerated income claims.
Support, protect, and defend the integrity of Learn 2 Live It’s Membership Program, benefits, and revenue opportunity.
Show fairness, tolerance, and respect to all people associated with Learn 2 Live It, regardless of race, gender, social class, or religion, thereby fostering a “positive atmosphere” of teamwork, good morale, and community spirit.
Strive to resolve business issues, including conflicts or disagreements with Members and Learn 2 Live It staff with tact, sensitivity, and goodwill, and taking care not to create additional conflict.

The CORE Creator may participate in the Learn 2 Live It program by:

Listening to courses that may be personally beneficial and offer feedback.
Sharing the referral code with others that may benefit from the courses.
Sharing your expertise and life experiences by submitting 4-to-6-minute videos that will add value to the membership program.
Participating in the Facebook Groups of Learn 2 Live It by commenting on posts.

This program operates as follows:

Learn 2 Live It will offer a complimentary Platinum Membership to each CORE Creator.
CORE Creators receive a Referral Code. This Referral Code can be shared with others and will allow enrollment waiving the one-time registration fee. CORE Creators will receive a monthly commission for membership upgrades, paid courses and coaching purchased by their referred members. If the referred member joins the Platinum Member Affiliate Referral Program, then the CORE Creator will also receive a monthly commission for membership upgrades, paid courses and coaching purchased by that member’s referred members.
15% of the monthly membership fees will be shared between the CORE Creators.
CORE Creators may also list their Business Link on the Learn 2 Live It Resource Page.
Revenue payments will be distributed on the 15th of the month.
The courses, videos, PDF worksheets, Live Zoom Calls, recordings, written and video articles and all membership communication created by the CORE Creator and submitted to Learn 2 Live It for the membership is considered the property of Trichotomous, LLC.
Learn 2 Live It understands that the content from the CORE creator is not exclusive to Learn 2 Live It and may be used by the CORE creator in other programs.
If the CORE Creator terminates their relationship, resigns, or is involuntarily terminated, then the courses, videos, PDF worksheets, Live Zoom Calls, recordings, written and video articles and all membership communication created by the CORE Creator may or may not be removed at the discretion of Trichotomous, LLC.

Revenue Qualifications

Commission and revenue is calculated on a monthly basis.
A Learn 2 Live It CORE Creator must review his or her monthly statement and revenue reports promptly and report any discrepancies within thirty (30) days of receipt. After the thirty (30) day “grace period” no additional requests will be considered for revenue recalculations.
Each CORE Creator is required to provide a Social Security Number or Federal Tax-ID if located in the United States or any of its territories to Learn 2 Live It. The transferring and disbursement of commission payments acquired is known as a “Pay-Out” and Trichotomous, LLC reserves the right to withhold Pay-Out from any CORE Creator who fails to provide a valid Social Security Number or Federal Tax-ID (EIN) or who provides false information.
Each CORE Creator is considered a 1099 contractor and is not an employee.
